Smith and Christensen, LLP, provides a range of general corporate services for privately-held companies. Our clients range from small family-owned businesses to national and international corporations with operational revenues exceeding $50 million/year. The firm is available to assist with matters such as registering new corporations, organizing the Board, advising on Director issues and establishing bylaws or operating agreements.
Once the company has been established, the firm is available to assist with the corporation’s day-to-day needs. For example, on any given day, the firm drafts corporate documents, coordinates transactions, advises on labor and employment issues, drafts executive employment and non-compete agreements and counsels on general matters ranging from the company’s rights in the face of a customer’s bankruptcy to how the company should respond to trespassers on the corporate campus.
Regrettably, corporations can also face litigation due to internal disputes or external forces. The firm’s recent experiences in these areas include defending “freeze out” litigation and serving as lead defense counsel in fiduciary litigation against a corporation and its Board.
